1. Acceptance of These Terms

These Website Terms of Use (“Terms”) govern your access to and use of brokeredgeos.com and any related public web pages, videos, presentations, images, text, and materials (collectively, the “Website”) operated by Channis LLC, a Wyoming limited liability company registered and authorized to do business in Texas (“Channis,” “we,” “us,” or “our”). By accessing or using the Website, you agree to these Terms. If you do not agree, do not access or use the Website.

Access to the BrokerEdgeOS™ subscription service, Opportunity Scout™, and any subscriber workspace is governed separately by the applicable signed Subscription Agreement. If these Terms conflict with a signed Subscription Agreement, the Subscription Agreement controls as to the subscription service.

2. Ownership of Proprietary Content

The Website and all of its content — including without limitation the BrokerEdgeOS™ presentation video and its narration, scripts, storyboards, product demonstrations, screen designs, user-interface layouts, workflows, text, graphics, logos, icons, illustrations, data compilations, pricing presentations, and the selection and arrangement of the foregoing — are owned by or licensed to Channis LLC and are protected by United States and international copyright, trademark, trade dress, trade secret, and other intellectual-property laws.

No right, title, or interest in any Website content is transferred to you. All rights not expressly granted in these Terms are reserved.

3. Limited Permission to View

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable permission to view the Website in a standard web browser solely to evaluate BrokerEdgeOS™ and Opportunity Scout™ for your own internal business purposes. This permission ends automatically if you breach these Terms.

4. Prohibited Copying, Reproduction, and Redistribution

Except as expressly permitted in writing by Channis LLC, you may not, and may not permit or assist anyone else to:

• download, record, screen-capture, rip, copy, reproduce, or archive the BrokerEdgeOS™ video or any other Website content, in whole or in part;
• republish, redistribute, upload, stream, broadcast, sell, license, sublicense, or otherwise make available any Website content, including on social media, video-sharing platforms, websites, presentations, or training materials;
• modify, translate, edit, excerpt, remix, or create derivative works from any Website content, including any product screens, workflows, or narration;
• remove, obscure, or alter any copyright, trademark, confidentiality, or other proprietary notice; or
• use any Website content to design, build, train, benchmark, market, or improve a competing product or service.

5. Scraping, Automated Access, and Data Harvesting

You may not, directly or indirectly:

• use any robot, spider, crawler, scraper, headless browser, script, or other automated means to access, copy, index, monitor, or extract any portion of the Website or its content;
• harvest, collect, or compile pricing, product, video, or other information from the Website to create a database, dataset, or directory;
• use Website content to train, fine-tune, prompt, or evaluate any artificial-intelligence or machine-learning model; or
• circumvent, disable, or interfere with any rate limit, access control, or technical measure that protects the Website or its content.

6. Proprietary Nonpublic Software and Security

BrokerEdgeOS™, Opportunity Scout™, subscriber workspaces, administrative tools, application programming interfaces, source code, data models, scoring methods, and other nonpublic software and systems are confidential and proprietary to Channis LLC.

You may not, and may not attempt to:

• access, probe, scan, or test any nonpublic area, account, workspace, interface, or system without authorization;
• reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code, algorithms, structure, or methods of any BrokerEdgeOS™ or Opportunity Scout™ software;
• bypass or defeat any authentication, agreement-before-payment, entitlement, or security control;
• introduce malware or other harmful code, or interfere with the integrity, performance, or availability of the Website or service; or
• use credentials, links, or session information that were not issued to you.

7. Trademarks

BrokerEdgeOS™, Opportunity Scout™, the BrokerEdgeOS logo, the tagline “Insight Drives What’s Next,” and related names, logos, and trade dress are trademarks of Channis LLC. You may not use them without our prior written permission, including in domain names, advertising, metadata, or in any manner that is likely to cause confusion or that disparages Channis LLC. Other names that may appear on the Website belong to their respective owners.

8. Illustrative Content and No Guarantee

Company names, account information, figures, and actions shown in Website videos and product demonstrations are fictional and presented solely to illustrate BrokerEdgeOS™ functionality. Website content is provided for general informational purposes only, may change without notice, and is not a guarantee of results, revenue, pricing, coverage, placement, or availability.

9. Enforcement and Remedies

Unauthorized use of the Website or its content may violate copyright, trademark, trade secret, computer-misuse, and other laws. We may investigate suspected violations, suspend or block access, preserve and disclose relevant information to the extent permitted by law, and pursue all available civil and criminal remedies, including injunctive relief, damages, and recovery of attorneys’ fees where permitted.

10. Disclaimers and Limitation of Liability

THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHANNIS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE.

11. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. To the fullest extent permitted by law, any dispute arising out of or relating to these Terms or the Website will be brought exclusively in the state courts located in Harris County, Texas, or the United States District Court for the Southern District of Texas, Houston Division, and you consent to the personal jurisdiction of those courts. Channis LLC may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
